Terms and Conditions

Woods Trade Supplies – Terms & Conditions

1. Definitions

In these Terms & Conditions, “the Company” means Woods Trade Supplies and “the Customer” means any person, business, trade account holder, or consumer purchasing goods or services from the Company.

These Terms apply to both trade and retail customers unless otherwise stated.


2. Prices

All prices are subject to VAT at the prevailing rate where applicable.

Prices charged will be those current at the date of dispatch or collection. The Company reserves the right to amend prices without prior notice.

Quotations are valid for 30 days unless otherwise stated in writing.


3. Payment Terms

Unless a credit account has been authorised by the Company, payment is due in full prior to or upon delivery or collection of goods.

The Company reserves the right to withhold supply of goods where payment has not been received.

The Customer shall be responsible for all reasonable costs and expenses incurred by the Company in recovering overdue monies, including legal fees, debt recovery costs, and administrative expenses.


4. Credit Accounts (Trade Customers Only)

Where a credit account has been approved, payment is due by the end of the month following the invoice date unless otherwise agreed in writing.

The Company reserves the right to:

  • Charge interest on overdue accounts at a rate of 2% per month above the outstanding balance;
  • Suspend or withdraw credit facilities at any time without notice;
  • Demand immediate payment of all outstanding balances if the account becomes overdue.

The Company may set and amend credit limits at its sole discretion.


5. Delivery

Delivery dates and times are estimates only and time shall not be of the essence.

The Company shall not be liable for delays in delivery caused by circumstances beyond its reasonable control.

Where delivery is made to a site nominated by the Customer, the Company’s responsibility shall end at the nearest safe and accessible unloading point.

The Customer shall provide, at their own expense:

  • Suitable access to the delivery location;
  • Any necessary labour or equipment required for unloading, handling, or storage.

Once goods are delivered, the Customer assumes responsibility for ensuring the safety and security of goods, packaging, and containers.

The Customer shall indemnify the Company against any claims, losses, damages, or expenses arising from delivery arrangements or site conditions.

Failure to deliver within estimated timescales shall not entitle the Customer to cancel the order or claim compensation for consequential loss.


6. Examination of Goods & Shortages

The Customer must inspect all goods immediately upon delivery or collection.

Any shortages, damages, or transit issues must be reported to the Company within 48 hours of delivery.

Any claims relating to defects, incorrect goods, or rejection of goods must be made within 5 working days of delivery.

Failure to notify the Company within these periods shall be deemed acceptance of the goods.


7. Passing of Risk & Retention of Title

Risk in the goods passes to the Customer upon delivery or collection.

Ownership of the goods shall remain with the Company until full payment has been received for:

  • The goods supplied; and
  • Any other monies owed by the Customer to the Company.

Until ownership passes, the Customer shall:

  • Store goods separately and clearly identifiable as the Company’s property;
  • Keep the goods insured and in good condition;
  • Not sell, pledge, or otherwise dispose of the goods without the Company’s consent.

The Company reserves the right to recover goods for which payment has not been made.


8. Guarantees & Liability

Goods supplied are subject to the manufacturer’s warranty where applicable.

The Company will repair or replace faulty goods within the applicable warranty period, provided the fault is not caused by:

  • Misuse;
  • Improper installation;
  • Neglect;
  • Accidental damage; or
  • Fair wear and tear.

Labour costs relating to removal, reinstallation, or associated works are excluded unless expressly agreed in writing.

To the fullest extent permitted by law, the Company shall not be liable for:

  • Indirect or consequential losses;
  • Loss of profit;
  • Loss of business;
  • Delays or additional costs arising from defective goods.

Nothing within these terms excludes liability where exclusion is prohibited by law, including liability relating to death, personal injury caused by negligence, fraud, or statutory consumer rights.


9. Cancellation of Orders

The Company reserves the right to charge the Customer for any costs, losses, or expenses incurred in relation to cancelled orders, including administration, processing, manufacturing, or supplier charges.

Orders for specially manufactured, bespoke, made-to-order, or non-stock items cannot be cancelled once production or procurement has commenced unless agreed in writing by the Company.

For retail consumers purchasing online, by telephone, or off-premises, cancellation rights under the Consumer Contracts Regulations 2013 may apply.


10. Returns & Refunds

Goods may only be returned with prior agreement from the Company.

Approved returns must:

  • Be returned within 14 days unless otherwise agreed;
  • Be unused and in resalable condition;
  • Include original packaging where possible;
  • Be accompanied by proof of purchase.

Accepted returns may be subject to a handling and restocking charge of up to 10%.

Special order, bespoke, or made-to-order items are non-returnable unless faulty or agreed otherwise in writing.

The Customer is responsible for return transport costs unless goods are faulty or incorrectly supplied.


11. Consumer Rights (Retail Customers)

Nothing within these Terms & Conditions affects the statutory rights of consumers under applicable UK legislation, including the Consumer Rights Act 2015 and Consumer Contracts Regulations 2013.

Retail customers purchasing online, by telephone, or off-premises may be entitled to:

  • Cancel eligible orders within 14 days of receipt;
  • Receive goods of satisfactory quality, fit for purpose, and as described;
  • Request repair, replacement, or refund for faulty goods in accordance with UK consumer law.

These rights do not apply to:

  • Bespoke or customised goods;
  • Goods made to the customer’s specification;
  • Items unsuitable for return for hygiene or safety reasons once opened.

12. Force Majeure

The Company shall not be liable for any failure or delay in performing its obligations where such failure or delay results from circumstances beyond its reasonable control, including but not limited to:

  • Acts of God;
  • Fire;
  • Flood;
  • Industrial disputes;
  • Supply chain disruption;
  • Transport delays; or
  • Government restrictions.

13. Governing Law

These Terms & Conditions shall be governed by and interpreted in accordance with the laws of England and Wales.

Any disputes arising shall be subject to the exclusive jurisdiction of the courts of England and Wales.
